Terms of Service

Welcome to Qvezt! These Terms of Service ("Terms") govern your use of Qvezt's website (“Site”) and mobile application (“Platform”). By accessing or using the Site and Platform and all of their offerings (“Services”), you agree to be bound by these Terms. If you do not agree, please do not use the Site and Platform.

This document outlines the key sections that guide your rights, responsibilities, and obligations when using Qvezt. It also details our policies regarding privacy, acceptable use, and legal limitations. These Terms are designed to protect both you and Qvezt, ensuring a safe and enjoyable experience for everyone.

Introduction

Key Terms

"You" refers to you as an individual user or the entity you represent if you are using the Services on behalf of an organization.

"Qvezt" refers to:

  • Qvezt Technology Kft.

"Services" refers to all features, functionalities, content, and other offerings available on the Qvezt platform, including but not limited to the Qvezt website and mobile application.

Your Agreement to These Terms

By accessing, using, uploading, or downloading any information or materials to or from the Services, or by agreeing to these Terms through creating an account or using any similar mechanism, you acknowledge that you have read, understood, and agreed to be bound by these Terms. This includes:

  • Using Qvezt in accordance with applicable laws and regulations.
  • Complying with all additional agreements or policies referenced within these Terms and our Privacy Policy.

Modifications to the Terms

Qvezt reserves the right to modify these Terms at any time. In the event of significant changes that could affect your rights, we will notify you via email or through notifications within the Services. Your continued use of the Services after receiving notice of the modifications constitutes acceptance of the modified Terms. If you do not agree with the changes, your only recourse is to stop using the Services and delete your account.

Scope of Services

The Services may include access to a variety of fitness-related tools, such as activity tracking, virtual competitions, leagues, and social features that allow users to interact with one another. Qvezt may also provide users the ability to engage in in-game purchases using virtual currency and to participate in challenges, events, and sponsored promotions.

Please note that your use of certain features of the Services may be subject to additional terms, conditions, or agreements, which will be made available at the time of use.

Account Responsibility

By registering for an account, you agree to provide accurate, current, and complete information about yourself and to maintain and promptly update your account information. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to:

  • Notify Qvezt immediately if you suspect unauthorized access or any breach of security.
  • Use strong, unique passwords for your account.
  • Limit your use of the Services to one personal account unless authorized by Qvezt to create additional accounts for specific purposes.

Legal Jurisdictions

If you are located in the European Economic Area (EEA) or other countries with specific legal protections, the Services are provided by Qvezt Technology Kft., based in Hungary. Your rights and obligations are governed by the laws of Hungary. If you are located outside the EEA, the Services are provided by Qvezt in accordance with local laws applicable to your region.

Dispute Resolution and Governing Law

This agreement is governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law principles. Any disputes related to these Terms or the use of the Services will be resolved through binding arbitration, except where prohibited by law. Users located in the European Union retain their statutory remedies for breaches of Qvezt’s legal obligations or negligence.

Language and Translations

This agreement was originally written in English. In the event of a conflict between a translated version and the English version of these Terms, the English version shall prevail.

Registration and Accounts

Account Creation

To access certain features of the Services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information about yourself as prompted by the registration form.
  • Maintain and promptly update your Personal Data to ensure it remains accurate and current.
  • Not create more than one account for personal use, unless authorized by Qvezt for specific purposes.

Failure to provide accurate information may result in the suspension or termination of your account. By creating an account, you also agree that Qvezt may use your Personal Data in accordance with our Privacy Policy, including for the purpose of providing the Services.

Account Security

You agree to:

  • Use strong and unique passwords that are not easily guessable.
  • Refrain from sharing your account login credentials with others or allowing others to use your account.

Qvezt cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Use of Third-Party Login Services

Qvezt may allow you to register or log in using third-party login services, such as Google, Facebook, or Apple. If you choose to log in via these third-party accounts, you authorize Qvezt to access and use certain information from these accounts, such as your name, email address, and profile picture, in accordance with their privacy policies and Qvezt's Privacy Policy.

You are responsible for reviewing and understanding the terms and privacy policies of these third-party services before using them to log into Qvezt. If your third-party account is compromised or if you no longer have access to it, you must notify Qvezt and take immediate steps to secure your Qvezt account.

Profile and Public Information

Upon registration, you will be prompted to create a profile that includes your username and other information that will be visible to other users. You are responsible for ensuring that any information you provide in your profile is accurate and does not infringe the rights of others.

Account Inactivity and Termination

Qvezt reserves the right to suspend or terminate your account if:

  • You have violated any provision of these Terms.
  • You fail to maintain accurate or current Personal Data.
  • You fail to make required payments in connection with paid features or subscriptions.

If your account is terminated, you will lose access to all Services, and any content or data associated with your account may be deleted permanently. You may appeal account suspensions or terminations by contacting Qvezt through info@qvezt.com.

Account Deletion

You may delete your account at any time by visiting the account settings page and selecting the delete account option, or by visiting the page qvezt.com/delete-account. Once your account is deleted, all personal data and content associated with the account will be permanently erased from Qvezt's active databases, though some data may be retained in backups or for legal compliance purposes as outlined in our Privacy Policy.

After account deletion, your data cannot be restored, and you will need to create a new account if you wish to use Qvezt again. Please review our Privacy Policy to understand how your data is handled after deletion.

Payments, Fees, and In-Game Purchases

Payment Methods

To access certain features of the Qvezt Services, including premium Services, you may be required to pay fees. You must designate and provide information about your preferred payment method (e.g., credit card, online payment service, third-party platforms like Apple App Store or Google Play, or any other payment method made available by Qvezt) ("Payment Method").

By providing your payment information, you authorize Qvezt and its third-party payment processors to:

  • Receive, store, and encrypt your payment information.
  • Charge your Payment Method for any paid features or subscription fees associated with your account.

If you paid through a third-party platform (e.g., Apple App Store or Google Play), you must change your Payment Method through the respective platform. Qvezt is not responsible for any fees, charges, or actions taken by third-party payment platforms (e.g., Apple or Google) during transactions.

Subscription Fees

Qvezt may offer both free and premium Services. To access certain premium features, such as private leagues, teams, special events and more, outlined on the Platform, you must pay a subscription fee. Subscription fees, along with any applicable taxes, are paid in advance and automatically renew at the end of each billing cycle, depending on your subscription plan (monthly or annual).

  • Changes to Fees

Qvezt reserves the right to change the subscription fees or introduce new fees at any time. You will be notified of any fee changes in advance. Any changes will take effect at the beginning of the next billing cycle after notification. If you do not agree to the new fees, you must cancel your subscription before the new fees are applied.

Auto-Renewal of Subscriptions

Your subscription will automatically renew at the end of each monthly or annual period, depending on your subscription plan, and your Payment Method will be charged the subscription fee until you cancel your subscription. You may cancel your subscription at any time as described below.

By signing up for a subscription, you authorize Qvezt to charge your Payment Method on a recurring basis without requiring your prior approval for each recurring charge, until you cancel your subscription.

Free Trials

From time to time, Qvezt may offer free trials of certain subscription services. If your subscription begins with a free trial, we will notify you of the duration of the free trial at the time of subscribing. At the end of the free trial period, Qvezt will automatically charge your Payment Method for the subscription fees unless you cancel your subscription before the trial period ends.

By subscribing for the free trial, you authorize Qvezt to place a temporary authorization on your Payment Method to reserve the subscription fee amount. No charges will be applied to your Payment Method if you cancel before the trial period ends.

Refund Policy

All payments for subscription fees, in-game purchases, and other paid features are non-refundable, except as required by law or expressly permitted by these Terms. If you cancel your subscription, you will retain access to premium features until the end of the current billing cycle, but no refunds or credits will be issued for partially used periods.

In jurisdictions where refunds for digital goods or services are required by law (e.g., under EU consumer protection laws), Qvezt will comply with applicable refund rules. For free trials, if you reside outside the United States, you may be entitled to a full refund if you cancel your subscription within fourteen (14) days ("Cooling-off Period"), provided you have not logged into or otherwise redeemed or started using the Services during that period.

If your Payment Method is identified as fraudulent by the payment provider, or if any unauthorized charges are made on your account, please contact us immediately at info@qvezt.com.

In-Game Purchases and Virtual Currency

Qvezt may offer in-game purchases, including virtual tokens that may be used to unlock special features, participate in events, purchase items from the in-game marketplace and more. These tokens are a virtual currency. Tokens cannot be exchanged for real money, transferred to another user, or used outside the Qvezt platform.

  • Using Tokens

Once tokens are spent, they cannot be refunded or transferred, and purchases made with tokens are final. Qvezt reserves the right to adjust the prices or availability of items without notice.

  • Expiration of Tokens

Tokens do not expire.

Promotions and Special Offers

From time to time, Qvezt may offer promotions or special offers, such as discounted subscription fees, bonus tokens, event access, sponsored products and more. These promotions are subject to specific terms and conditions, which will be provided at the time of the offer. Qvezt reserves the right to modify or cancel promotions at any time without prior notice.

Cancellation of Subscriptions

You may cancel your subscription through the respective third-party platform (e.g., Google Play Store or Apple App Store). Your cancellation will take effect at the end of your current billing cycle. After your subscription ends, your account will remain active with free access to basic features, and you may upgrade again at any time.

Please note that canceling your subscription will not automatically delete your account. If you wish to delete your account entirely, you must do so through the account deletion process.

Unauthorized Transactions

You are responsible for all fees and charges incurred under your account, including unauthorized or fraudulent charges. If you believe there has been an unauthorized transaction on your account, contact us immediately at info@qvezt.com. Qvezt may, but is not obligated to, issue refunds for unauthorized transactions, depending on the circumstances and the findings of any investigation.

Free Trials, Beta Features, and Special Offers

Free Trials

Terms of Free Trials:

  • Eligibility: Free trials are available only to new users or users who have not previously accessed premium content or participated in a free trial, unless otherwise stated. Qvezt reserves the right to determine eligibility for free trials.
  • Duration: The length of the free trial will be specified at the time of sign-up. Free trials typically last between 7 to 30 days, depending on the promotion.
  • Payment Information: To begin a free trial, you may be required to provide payment information. No charges will be applied to your Payment Method until the free trial ends.
  • Auto-Renewal: Unless you cancel your subscription before the end of the free trial, Qvezt will automatically charge your Payment Method for the applicable subscription fees when the trial ends. You can cancel your subscription at any time through the third-party platform where you signed up (e.g., Google Play Store or Apple App Store).
  • Cancellation During Free Trial: If you cancel your subscription during the free trial period, no charges will be applied to your Payment Method, and you will lose access to the premium content or features at the end of the trial.

Beta Features

Qvezt may release new features, services, or updates as part of a Beta Release, early access program, or similar testing phase ("Beta Features"). These features are offered to selected users to help Qvezt test new functionality and improve overall user experience.

  • Terms of Beta Features
  • Experimental Nature: Beta Features are experimental and may contain bugs, design flaws, or incomplete functionality. By using Beta Features, you acknowledge that these features may change, malfunction, or be removed at any time without prior notice.
  • No Warranty: Beta Features are provided "as is" and may not be fully supported. Qvezt does not guarantee the reliability, availability, or performance of Beta Features. You agree to use Beta Features at your own risk.
  • Feedback: By participating in the Beta Features, you agree to provide feedback to Qvezt about your experience. This feedback may be used by Qvezt to improve its products and services. Any feedback you provide will be governed by the "Your Feedback" section of these Terms.
  • End of Beta Access: Qvezt reserves the right to terminate Beta access at any time and for any reason. Upon termination of Beta access, you may lose access to Beta Features and any associated data.

Special Offers and Promotions

From time to time, Qvezt may offer special promotions, discounts, or bonus content to users. These offers are designed to provide added value to your experience on the platform, including discounted subscription fees, bonus tokens, or access to exclusive events.

  • Terms of Special Offers and Promotions
  • Availability: Special offers are subject to availability and may be limited to specific geographic regions, user segments, or promotional periods. Qvezt reserves the right to modify or cancel any promotion at its discretion.
  • Eligibility: Promotional offers may be limited to certain users (e.g., new users, users who meet specific criteria, or users who have been invited). Users who attempt to exploit promotions by creating multiple accounts or engaging in fraudulent behavior may be disqualified and have their accounts suspended or terminated.
  • Expiration: Most promotions have a limited time during which they must be used. After the expiration date, the promotional benefits, such as discounted fees or bonus tokens, will no longer be available.
  • Non-Transferable: Promotional codes, discounts, and offers are non-transferable and cannot be redeemed for cash or exchanged between users. Each promotion is tied to the account that redeemed the offer.
  • Stacking Offers: Unless otherwise stated, promotions cannot be combined or "stacked." If multiple promotions are available, Qvezt will apply the best available promotion to your account at the time of purchase or redemption.
  • Refunds for Promotions: Special offers and promotions are typically non-refundable. If you have redeemed a promotional code or offer, refunds will only be provided if required by law or if explicitly stated in the promotional terms.

Modifications to Free Trials and Promotions

Qvezt reserves the right to modify or terminate free trials, Beta Features, and promotions at any time, with or without notice. Any such changes will be posted on the Qvezt website or communicated through the Services. If a promotion or free trial is canceled, Qvezt is not obligated to extend the offer or provide any alternative.

Compliance with Local Laws

Some free trials, promotions, and offers may not be available in certain countries or regions due to legal restrictions. Qvezt will comply with all applicable local laws when offering promotions and free trials and may limit or adjust the availability of certain offers based on the user's location.

Fitness and Health Liability

No Medical Advice

Qvezt provides various fitness-related features, including activity tracking, and challenges, to help users improve their health and wellness. However, Qvezt does not provide medical advice or healthcare services, and the content provided through the Services is not intended to replace professional medical advice, diagnosis, or treatment.

By using the Services, you acknowledge and agree that:

  • The Service provided is for informational purposes only and is not intended to substitute the advice of a licensed healthcare professional.
  • You should consult your physician or other qualified healthcare provider before starting any fitness program, making significant changes to your exercise routine, or if you have any health-related questions or concerns. If you experience any pain, discomfort, or other adverse symptoms while using the Services, you should stop immediately and consult a healthcare professional.
  • In case of an emergency, call your physician or dial your local emergency services (e.g., 112 in the EU). Never disregard or delay seeking medical advice because of the Services you encountered on the Qvezt platform.

Assumption of Risk

By engaging in any physical activity, whether through fitness challenges or other activities on Qvezt, you acknowledge and agree to the following:

  • Physical activities carry inherent risks, including but not limited to injury, disability, or death. You voluntarily assume all known and unknown risks associated with such activities.
  • Qvezt is not responsible for evaluating your ability to safely engage in physical activity, and you are solely responsible for determining your own physical fitness and readiness to participate in any activities available through the Services.
  • Qvezt provides tools to track physical activity (e.g., GPS tracking, activity logging), but these tools are not intended to monitor your health condition or provide real-time medical alerts. Any fitness metrics or results generated by Qvezt (e.g., speed, heart rate, calorie count) are for informational purposes only and should not be relied upon to make medical decisions.

Liability Waiver

To the maximum extent permitted by law, you agree to release and hold Qvezt, its affiliates, directors, officers, employees, agents, partners, and licensors harmless from any liability, claims, damages, or expenses (including legal fees) arising from or related to:

  • Your participation in any physical activities through the Services, including but not limited to challenges and competitions.
  • Injuries or health conditions that may result from using the Services or engaging in fitness activities, whether recommended by Qvezt or independently chosen by you.
  • Misuse of fitness tools, tracking devices, or other health-related content provided through the Services, including any reliance on inaccurate or incomplete data.

You acknowledge that Qvezt is not responsible for supervising or ensuring the safety of your physical activities. The risk of injury from activities, whether indoors or outdoors, exists regardless of precautions or warnings, and Qvezt does not guarantee any particular results from using its fitness-related Services.

Use of Wearable Devices and Third-Party Health Tools

Qvezt does not integrate with wearable devices, such as fitness trackers, heart rate monitors or third-party health tools (e.g., nutrition or fitness apps). By using such devices or tools in connection with Qvezt, you agree that:

  • Qvezt is not responsible for the accuracy or functionality of third-party devices, apps, or services. Any health metrics, data, or recommendations provided by third-party tools are subject to those providers' terms and privacy policies.
  • You must ensure that any wearable devices you use are properly calibrated and functioning correctly. Qvezt assumes no responsibility for errors, malfunctions, or failures of these devices that may affect your health or fitness results.
  • Data provided by wearable devices or third-party tools is for informational purposes only and should not be used to make medical decisions or serve as a substitute for professional healthcare advice.

High-Risk Users and Activities

Certain users may be at higher risk of injury or health complications from physical activity, including individuals with pre-existing medical conditions, recent injuries, or those who are new to exercise. If any of the following conditions apply to you, you are strongly advised to consult a healthcare professional before using the Qvezt Services:

  • Cardiovascular conditions (e.g., heart disease, hypertension).
  • Respiratory conditions (e.g., asthma, chronic obstructive pulmonary disease).
  • Musculoskeletal conditions (e.g., joint or bone issues, recent surgery).
  • Metabolic conditions (e.g., diabetes, thyroid disorders).
  • Pregnancy or post-partum recovery.

Qvezt also encourages all users to be mindful of their surroundings when engaging in outdoor activities (e.g., walking, running) and to take appropriate precautions for weather, traffic, and other environmental factors.

No Endorsement of Third-Party Fitness Content

Qvezt may feature fitness content from third-party creators, including fitness instructors, dietitians, or other professionals. You acknowledge that:

  • Qvezt does not endorse the views, opinions, or advice provided by third-party content creators.
  • Any third-party content featured on Qvezt is provided for informational purposes only, and you should independently verify the appropriateness of such content for your fitness level, goals, and health conditions.
  • Qvezt assumes no responsibility for the accuracy or reliability of third-party content, and you engage with such content at your own risk.

Limited Liability for Equipment

If you choose to use any fitness or health-related equipment (e.g., weights) in connection with Qvezt’s Services:

  • Qvezt is not responsible for the condition or functionality of any fitness equipment you use. Ensure that any equipment is safe and properly maintained.
  • Follow all safety guidelines for the equipment you use. Qvezt is not liable for injuries or damages caused by improper use of equipment, whether recommended by Qvezt or independently chosen by you.

League and Team Participation

Qvezt provides a competitive environment where users can join leagues, participate in teams, and engage in challenges. These features are designed to enhance user interaction, promote healthy competition, and foster community engagement. By participating in any Qvezt league or team, you agree to abide by the following rules and guidelines.

Creating and Joining Leagues

Qvezt allows users to create, join, and manage leagues. Leagues can be public or private and may have specific criteria for joining, set by the league administrator.

  • Eligibility: To create or join a league, you must:
  • Have a valid Qvezt account in good standing.
  • Meet the specific eligibility criteria, if any, set by the league administrator (e.g., geographic location, fitness level, or activity type).
  • Agree to comply with the league rules as established by the league administrator and these Terms of Service.
  • League Creation: If you create a league, you agree to:
  • Set clear rules and expectations for participants, which must be in line with Qvezt’s Terms of Service and Acceptable Use Policy.
  • Act as a moderator for the league, resolving disputes and maintaining a fair and inclusive environment.
  • Not engage in any behavior that could be considered abusive, discriminatory, or fraudulent.
  • Be responsible for the league's content and activities, including ensuring that all participants comply with Qvezt’s policies.
  • Joining a League: By joining a league, you agree to:
  • Follow the league's rules and respect the decisions of the league administrator.
  • Engage in authentic activities and not manipulate data, scores, or results to gain an unfair advantage.
  • Respect other participants and refrain from abusive or disruptive behavior.

Qvezt reserves the right to suspend or disband any league that violates these Terms, including leagues found to promote illegal, harmful, or misleading activities.

Team Participation

Users can form or join teams within leagues to participate in team-based challenges, events, and competitions. Teams can compete for standings within a league, and their performance is based on collective efforts.

  • Creating Teams: Team creators (admins) must:
  • Set clear team rules and ensure fair play within the team.
  • Maintain a respectful and cooperative environment.
  • Be responsible for managing team participation and resolving any disputes that may arise within the team.
  • Joining Teams: By joining a team, you agree to:
  • Follow the team’s rules and respect the team admin’s decisions.
  • Engage in team challenges fairly, with accurate activity tracking and participation.
  • Avoid any behavior that could be considered disruptive or harmful to the team’s success.

Qvezt reserves the right to remove users from teams or suspend team participation if users violate these Terms or the Acceptable Use Policy.

Competition Rules and Fair Play

Qvezt strives to ensure a fair and transparent competitive environment for all users. When participating in leagues, teams, or individual challenges, you agree to uphold the principles of fair play.

  • Authentic Activities

All activity data submitted through Qvezt (walking, running), must reflect real, authentic activities completed by you. Using vehicles, fraudulent means, or external manipulation to enhance your performance or results is strictly prohibited.

  • Use of GPS and Wearable Devices

Many competitive features rely on accurate GPS tracking or data from wearable devices. You are responsible for ensuring that your devices are properly calibrated and functioning correctly during activities. Qvezt will not adjust scores or rankings based on inaccurate or malfunctioning device data unless it is determined to be a platform-wide issue affecting multiple users.

  • Disqualification for Cheating

Qvezt has a zero-tolerance policy for cheating, including falsifying data, manipulating results, or using software or tools to unfairly enhance your performance. Users found to be cheating will be:

  • Disqualified from the relevant event, challenge, or league.
  • Temporarily or permanently suspended from participating in future competitive features.
  • Subject to account suspension or termination for repeated violations.
  • Leaderboard Integrity

Qvezt leaderboards reflect the collective efforts of users participating in challenges and leagues. Manipulation of leaderboard results through inauthentic activities or other dishonest means is strictly prohibited. If you believe someone is falsifying their results, please report the behavior at info@qvezt.com.

Transfers and Leaving Teams or Leagues

You may transfer between teams or leagues or choose to leave a league or team at any time. However, there are specific rules that govern transfers and leaving to maintain competitive balance.

  • League Transfers

If you wish to transfer to another league, you may do so, but:

  • You may lose your accumulated points or standings in the original league.
  • Some leagues may impose restrictions on mid-season transfers, and you may need the approval of the league administrator.
  • Team Transfers

Transferring between teams within the same league is permitted, but:

  • Team administrators may have specific rules or limitations regarding transfers.
  • Any points or achievements earned with the original team may not carry over to the new team.
  • Leaving a League or Team
  • If you choose to leave a league or team, you will lose your standing within that competition, and any points or rewards may be forfeited. Rejoining the same league or team later may not restore your previous standing.

Rewards and Prizes

Certain leagues and team-based challenges may offer rewards or prizes for top-performing participants. These rewards may include digital items, tokens, or other benefits.

  • Eligibility for Rewards: To be eligible for rewards, you must:
  • Participate in the league, team, or challenge in accordance with all applicable rules.
  • Complete all required activities authentically and within the specified time limits.
  • Not be disqualified for any reason, including cheating or disruptive behavior.

Participation in challenges or competitions is open to all Qvezt users who meet the general eligibility requirements of the Services. However, to be eligible to receive any physical or monetary Reward, the participant must be at least 18 years of age at the time of claiming the Reward.

If a participant who is under the age of 18 is declared a winner of a Reward, the Reward may only be awarded to their parent or legal guardian, subject to verification and compliance with applicable laws. Qvezt may request appropriate documentation to confirm the identity and authority of the legal guardian before releasing any Reward.

Qvezt reserves the right to withhold, delay, or revoke the issuance of any Reward if:

  • Age eligibility cannot be verified,
  • Legal guardian consent or documentation is not provided upon request, or
  • Distribution of the Reward would otherwise violate applicable laws.

By participating in any challenge or competition, you confirm that you meet the eligibility requirements or, if underage, that a parent or guardian is willing and able to claim any prize on your behalf.

  • Prizes and Distribution
  • Any rewards or prizes will be distributed electronically and may include virtual currency, badges, or other forms of recognition within the Qvezt platform. Physical prizes may be offered during specific events, and users will be notified of the terms and conditions for receiving such prizes at the time of participation.
  • Taxes on Prizes
  • If you receive any monetary or material prizes, you are responsible for reporting and paying any applicable taxes in your jurisdiction. Qvezt is not responsible for any tax obligations related to the receipt of prizes or rewards.

Ownership of and Use of Content

Qvezt allows users to create, upload, share, and interact with various types of content, including but not limited to text, images, videos, activity data, posts, comments, and other materials (collectively referred to as "Content").   • Text, comments, and messages.
  • Photos, videos, and other multimedia uploaded to the platform.

However, by submitting Content on Qvezt, you grant Qvezt certain rights to use your Content as outlined below.

License to Qvezt

By posting, uploading, or sharing Content on Qvezt, you grant Qvezt a non-exclusive, worldwide, royalty-free, transferable, sub-licensable, perpetual, and irrevocable license to:

  • Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your Content in connection with the Services.
  • Use your name, username, and any other identifying information you provide in connection with your Content.

This license allows Qvezt to operate and improve the Services, promote the platform, and create features that enhance user experience, such as leaderboards, public challenges, and team competitions.

You understand and agree that Qvezt may use your Content for commercial purposes, including but not limited to promotional materials, marketing, or advertisements. Qvezt will not sell your Content to third parties, but may use it to support Qvezt’s marketing initiatives.

Responsibility for Your Content

You are solely responsible for the Content you create, upload, or share on Qvezt. By posting Content, you represent and warrant that:

  • You own the Content or have the necessary rights and permissions to share it.
  • Your Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
  • Your Content is not defamatory, harmful, illegal, abusive, or otherwise objectionable under Qvezt’s Acceptable Use Policy.
  • You will not upload, post, or share Content that violates any applicable laws, rules, or regulations.

Qvezt reserves the right to remove or restrict access to any Content that violates these Terms, the Acceptable Use Policy, or applicable laws.

Inappropriate and Harmful Content

Qvezt does not permit the posting of any content that is illegal, harmful, abusive, or otherwise violates the rights of others. This includes, but is not limited to:

  • Harassing, threatening, or abusive content.
  • Sexually explicit or obscene content.
  • Misinformation or disinformation.
  • Content that promotes illegal activities or violates the rights of others (e.g., copyright violations).
  • Content that impersonates other people, brands, or organizations.

If you encounter inappropriate content or behavior, you can report it to Qvezt by contacting info@qvezt.com.

Third-Party Content

The Qvezt platform may feature content created by third parties, including fitness instructors, event organizers, advertisers, or other users. Qvezt does not endorse, control, or take responsibility for any third-party content shared on the platform. You acknowledge that:

  • Third-party content is not reviewed or endorsed by Qvezt.
  • You interact with third-party content at your own risk and are responsible for complying with any terms or conditions set by the third party.

If you post Content that includes third-party materials (e.g., music, videos, photos, text), you represent and warrant that you have obtained the necessary licenses or permissions to share that material.

Content Removal

Qvezt reserves the right to remove, disable, or restrict access to any Content that violates these Terms, the Acceptable Use Policy, or applicable laws. This may include Content that:

  • Infringes intellectual property rights.
  • Violates privacy or data protection laws.
  • Contains harmful or inappropriate material.

Qvezt may also remove Content if required by law, regulation, or government request, or to protect the rights and safety of Qvezt and its users.

No Obligation to Store Content

Qvezt is not obligated to store or maintain your Content, and you agree that Qvezt is not liable for any loss or deletion of Content, regardless of the circumstances. While Qvezt may offer tools to save and back up your Content, it is your responsibility to ensure that important Content is backed up on your own device or other storage medium.

If your account is terminated, either by you or by Qvezt, your Content may be permanently deleted from the platform, as outlined in the Data Retention Policy.

User-Generated Activity Data

Qvezt allows users to generate activity data, such as walking or running, tracked through GPS-enabled devices. By generating activity data on Qvezt, you grant Qvezt the right to use this data in aggregate to:

  • Generate leaderboards, statistics, or rankings.
  • Suggest challenges or routes based on collective user data.
  • Improve the Services through research, analysis, and user behavior insights.

If you participate in public challenges, your activity data may be included in leaderboards or shared with other participants.

Feedback and Suggestions

Qvezt welcomes feedback, suggestions, and ideas from its users. However, any feedback or suggestions you provide are considered non-confidential and non-proprietary, and Qvezt may use them for any purpose without obligation or compensation to you. By submitting feedback, you agree that:

  • You are not entitled to any compensation for your feedback.
  • Qvezt may freely use, modify, or commercialize any feedback or suggestions you provide.

Acceptable Use Policy

Qvezt’s Terms of Service include this Acceptable Use Policy, which outlines the types of behavior and content that are not allowed on the platform. By using Qvezt, you agree to comply with this policy, and Qvezt reserves the right to take action against any user who violates these terms, including the suspension or termination of accounts and removal of content.

Content Restrictions

You agree not to post, upload, share, or otherwise make available any content on Qvezt that:

  • Is illegal or promotes illegal activities, including but not limited to:
  • Sexual exploitation or abuse, including of minors.
  • Terrorism or radical extremism.
  • Violations of export control, trade sanctions, or embargo laws.
  • Is abusive or harassing, including but not limited to:
  • Threatening or harassing behavior directed at individuals or groups.
  • Hateful or discriminatory speech, including content that promotes racism, sexism, homophobia, or other forms of hate speech.
  • Violence, graphic content, or content that advocates for violence or harm to others.
  • Sexually explicit, obscene, or pornographic content.
  • Content that promotes self-harm, eating disorders, or suicide.
  • Is fraudulent or deceptive, including but not limited to:
  • Misinformation or disinformation.
  • Content that impersonates a person, company, or brand without permission.
  • Falsified data, such as manipulated fitness activity results or leaderboard standings.
  • Attempts to direct users to external platforms for financial schemes, sexual exploitation, or other harmful purposes.
  • Infringes on the rights of others, including but not limited to:
  • Content that violates intellectual property rights, such as copyrights, trademarks, or patents.
  • Defamatory statements or invasion of privacy.
  • Unauthorized sharing of personal data or doxxing.
  • Uploading or sharing media without permission from the individuals featured.

Conduct Restrictions

You agree not to engage in any of the following prohibited behaviors on the Qvezt platform:

  • Spamming or Excessive Automated Activity:
  • Using bots, automated scripts, or other means to perform excessive actions (e.g., sending messages, likes, or comments) beyond normal use.
  • Creating multiple accounts for the purpose of evading restrictions or increasing engagement (e.g., multiple impressions, comments, or fake activity submissions).
  • Engaging in conduct that imposes an unreasonable load on the system.
  • Unauthorized Access or Data Collection:
  • Accessing Qvezt or its systems in an unauthorized manner (e.g., hacking, phishing, or using compromised credentials).
  • Collecting or harvesting personal data or activity information of other users without their consent.
  • Using Qvezt’s content or data in a manner not authorized by Qvezt, including redistributing or selling content.
  • Disruptive Behavior:
  • Interfering with the functionality, integrity, or security of the Qvezt platform.
  • Engaging in conduct that disrupts the experience of other users, including trolling, spamming, or engaging in repetitive and irrelevant interaction in public spaces.
  • Attempting to manipulate public spaces, such as leaderboards, challenges, or competitions through fraudulent or malicious means.
  • Use of Harmful or Malicious Software:
  • Uploading, posting, or otherwise distributing viruses, malware, spyware, or any other harmful code that could disrupt, damage, or limit the functionality of Qvezt’s services or systems.

Prohibited Activities

You may not use Qvezt to:

  • Engage in commercial activities: Qvezt is intended for personal use only. You may not use the platform for commercial purposes without prior written consent from Qvezt, including:
  • Promoting or advertising products, services, or events not associated with Qvezt.
  • Offering or soliciting paid services, sponsorships, or endorsements without Qvezt's approval.
  • Promote illegal activities: You may not use Qvezt to engage in or promote activities that violate local, state, national, or international laws, including:
  • Drug trafficking, money laundering, or fraud.
  • Organizing or promoting illegal activities, such as underground competitions or events that violate local laws.
  • Misuse of Qvezt's features or APIs: You agree not to use Qvezt’s APIs or platform features in a way that:
  • Violates these Terms or any third-party agreements.
  • Disrupts or interferes with Qvezt’s services or functionality.

Reporting Violations

Qvezt encourages users to report any violations of this Acceptable Use Policy. If you believe that another user has violated these rules, you can report the content or user directly through the Qvezt platform by using the report feature located next to the user account.

Qvezt may review content and activities on the platform to ensure compliance with this Acceptable Use Policy. While we strive to enforce our policies consistently, you acknowledge that Qvezt is under no obligation to pre-screen content. However, Qvezt reserves the right to:

  • Remove content that violates these Terms or applicable laws.
  • Suspend or terminate accounts that engage in prohibited activities, content, or behaviors.
  • Restrict access to specific features for users who violate these Terms.
  • Take legal action or refer cases to law enforcement if necessary.

Qvezt may use automated systems to detect and review content for policy violations, but all appeals and decisions regarding content removal or account suspension will be reviewed by a human.

Appeals Process

If your content is removed or your account is suspended due to a violation of this Acceptable Use Policy, you have the right to appeal the decision. Appeals must be submitted within 30 days of the enforcement action by replying to the email notification of the enforcement action.

Qvezt will review appeals in a timely manner, typically within 1 month of the original decision. If Qvezt determines that the enforcement action was incorrect or inappropriate, the content may be restored, or the account suspension may be lifted.

Consequences for Violations

Users found in violation of this Acceptable Use Policy may face one or more of the following consequences:

  • Content Removal: Prohibited content may be removed, and any associated activities may be nullified (e.g., leaderboard standing, challenge results).
  • Feature Restrictions: Access to specific features, such as challenges or messaging, may be restricted.
  • Account Suspension or Termination: For serious or repeated violations, accounts may be suspended or permanently terminated.
  • Legal Action: Qvezt reserves the right to pursue legal action against users who engage in illegal activities or violate the intellectual property rights of others.

Qvezt is not liable for any losses or damages resulting from actions taken in response to violations of this Acceptable Use Policy.

Proprietary Rights and Intellectual Property

Qvezt owns and maintains proprietary rights in its platform, including all intellectual property associated with the Services, Software, Content, and other features offered on or through the platform. By using the Qvezt platform, you acknowledge and agree to the following terms regarding proprietary rights and intellectual property.

Ownership of Qvezt Platform and Content

All rights, title, and interest in and to the Qvezt Services, including but not limited to:

  • The Qvezt name, logo, and trademarks,
  • The design, look, and feel of the platform (including text, graphics, images, software, code, scripts, algorithms, and interactive features),
  • All content provided by Qvezt through the Services (including but not limited to activity data, reports, fitness tracking features, leaderboards, and in-game content), are owned by Qvezt and may be protected by international copyright, trademark, patent, and other intellectual property laws. All trademarks, service marks, logos, and trade names appearing on or through the Services are the exclusive property of Qvezt or its licensors.

You agree not to:

  • Modify, copy, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, sell, or create derivative works from any part of the Qvezt Services or content, without prior written permission from Qvezt, except as allowed by these Terms.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices displayed within or associated with the Qvezt platform.
  • Use Qvezt’s trademarks or logos without prior written permission from Qvezt, except as permitted by law.

Qvezt reserves all rights not expressly granted in these Terms.

Limited License to Use the Services

Subject to your compliance with these Terms, Qvezt grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Services and Content solely for your personal, non-commercial use.
  • Download and use the Qvezt mobile app and software, where applicable, solely for accessing and using the Services as provided.

You may not:

  • Reverse engineer, decompile, disassemble, modify, or attempt to discover the source code of any software associated with the Services, except to the extent that applicable law allows such activities.
  • Rent, lease, sell, sublicense, distribute, or transfer any part of the Services, unless expressly authorized by Qvezt.

This license is provided solely for personal use and cannot be used for commercial purposes or profit without explicit written permission from Qvezt.

Third-Party Intellectual Property

The Qvezt platform may include content, features, or services that are provided by third-party providers, including but not limited to:

  • Third-party APIs (e.g., map services, fitness tracking),
  • External data sources for leaderboards or event tracking.

You acknowledge that Qvezt is not responsible for the accuracy, reliability, or content provided by third-party services, and your use of such third-party content is subject to the terms and conditions of the third-party provider. You must comply with any intellectual property rights or terms of service associated with third-party content, and Qvezt assumes no liability for any misuse of third-party intellectual property.

User-Generated Content

While you retain ownership of the intellectual property in the content you create and share through Qvezt (as outlined in the Ownership of and Use of Content section), you grant Qvezt a broad license to use, distribute, and display your content as necessary to operate and promote the platform.

By submitting content to Qvezt, you represent and warrant that:

  • You have all necessary rights and permissions to share and license your content to Qvezt.
  • Your content does not infringe the intellectual property rights of any third party, including but not limited to copyrights, trademarks, patents, and trade secrets.
  • If your content contains third-party materials (e.g., music, video clips, images), you have obtained the necessary licenses or permissions to share those materials.

Qvezt reserves the right to remove any user-generated content that violates intellectual property rights or infringes on other users’ legal rights.

Infringement Notices and Takedown Requests

Qvezt respects the intellectual property rights of others and expects users to do the same. If you believe that your intellectual property has been infringed by content posted on the Qvezt platform, you may submit a takedown request or infringement notice to Qvezt at info@qvezt.com.   • A statement under penalty of perjury that you have a good faith belief that the content was removed in error.

Qvezt will review counter-notices and, if appropriate, may restore the removed content, while notifying the original complainant of your counter-notice.

By using Qvezt, you consent to receiving electronic communications from Qvezt. These communications may include notices about your account (e.g., payment authorizations, password changes, updates to legal agreements, and other transactional information) and information related to or concerning the platform (e.g., updates, new features, promotional materials, or changes to Qvezt Services). You agree that any such notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

Your Consent to Electronic Communications

When you use Qvezt, you agree that:

  • You consent to receiving all communications electronically: Qvezt may provide you with required information and notices about the platform and your account by email, within the Qvezt mobile app, or by other electronic communication methods (such as push notifications).
  • These communications may include important legal and billing notices: You agree to receive communications that relate to your account, including transaction receipts, subscription renewal notices, legal notices, and updates to the Terms of Service or Privacy Policy.
  • You agree that electronic communications will satisfy any legal requirements: If any law or regulation requires that a communication be in writing, you agree that the electronic format used by Qvezt satisfies this requirement.

Communication Preferences and Opting Out

Qvezt offers various types of communications, including service-related and promotional communications. You may control which communications you receive by adjusting your preferences:

  • Service-Related Communications

These include emails or notifications regarding your account status, billing information, updates to the Services, or legal notices. You cannot opt out of receiving service-related communications, as they are essential for maintaining your account and ensuring that you receive important updates regarding your use of Qvezt.

  • Maintain up-to-date contact information: You must promptly update your account information with any changes to your email address, or other relevant contact details. This can be done through your account settings.
  • No liability for failure to receive communications: Qvezt is not responsible for any consequences resulting from your failure to receive communications if you fail to update your contact information, or if the communication is blocked or filtered by your email provider (e.g., sent to your spam or junk mail folder).

Push Notifications and Mobile Communications

In addition to email, Qvezt may send communications through push notifications on your mobile device. By installing and using the Qvezt app, you consent to receiving such notifications. You can control or disable push notifications by:

  • Managing your mobile device’s notification settings.

Please note that turning off push notifications may limit your access to important updates or features related to the platform.

Legal Communications and Notice

Qvezt may send notices regarding your account, changes to these Terms, or other legal information by email, within the app, or via other electronic means. These notices will be deemed delivered to you upon sending, and it is your responsibility to ensure you are regularly checking your account, email, or mobile notifications.

  • Legal Notices: Any legal notices sent to you electronically will have the same legal effect as notices sent via postal mail. By using Qvezt, you agree that any electronic communication meets the legal requirement for written communication.
  • Effective Date of Notices: Notices are deemed effective when sent to your email address or delivered through the Qvezt app. If you fail to open, read, or receive an electronic notice, this does not change the effective date of the communication.

Document Retention and Access

Qvezt may retain copies of all communications for legal and business purposes. You are encouraged to keep a copy of any communications, including legal notices or updates to the Terms, for your personal records.

  • Accessing Past Communications: You can view important communications related to your account in your email history. If you need further assistance accessing specific documents, please contact info@qvezt.com.
  • Requesting Paper Copies: If required by law, or upon request, Qvezt may provide you with a paper copy of any electronic communication. You may need to pay a fee to cover the cost of printing and mailing such materials.

Termination and Suspension

Qvezt reserves the right to suspend or terminate your account and access to the Services under certain circumstances. The following terms outline when and how Qvezt may suspend or terminate your account, as well as your rights and obligations in such situations.

Grounds for Termination or Suspension

Qvezt may suspend or terminate your account at any time, without prior notice, for any of the following reasons:

  • Violation of the Terms of Service: If you breach or violate any provisions of these Terms, including the Acceptable Use Policy or other incorporated agreements and policies.
  • Violation of Law: If your activities on the platform violate applicable laws, regulations, or legal rights of others.
  • Requests by Law Enforcement or Government Agencies: If Qvezt is required to comply with legal obligations, such as a court order or governmental request to restrict or terminate your account.
  • Fraudulent or Harmful Behavior: If you are found to engage in fraudulent activities, cheating, unauthorized use of the platform, or actions that may harm the platform, other users, or Qvezt.
  • Nonpayment of Fees: If you fail to pay any fees or charges associated with your subscription, in-game purchases, or other financial obligations to Qvezt.
  • Other Serious Misconduct: Qvezt reserves the right to terminate or suspend accounts for any other serious misconduct, including repeated violations of community standards or behavior that disrupts the experience of other users.

Consequences of Suspension or Termination

If your account is suspended or terminated:

  • Loss of Access: You will immediately lose access to the Services, including your profile, activity data, friends list, teams, leaderboards, and any other features associated with your account.
  • Deletion of Content: Qvezt may delete or remove your content, including activities, posts, messages, and other data associated with your account. Qvezt is under no obligation to retain your data after account termination.
  • Forfeiture of Rewards: Any in-game purchases, rewards, achievements, or credits earned through the platform will be forfeited upon termination.
  • No Refunds: You agree that termination or suspension of your account does not entitle you to any refund for fees, subscriptions, or in-game purchases that you have made.

Self-Initiated Termination

You may delete your account at any time by following the account deletion process in the Qvezt app or by visiting qvezt.com/delete-account. Upon deletion, you will receive a confirmation email, where you can finalize the deletion of your account by clicking “Delete Account” within that email:

  • Immediate Effect: Your account will be deactivated immediately, and you will lose access to all Services and content associated with your account.
  • Deletion of Data: Upon your request for account deletion, Qvezt will permanently delete your personal data, activities, and content from its systems, as outlined in the Privacy Policy. Once deleted, this data cannot be recovered.
  • No Reinstatement: If you voluntarily terminate your account, Qvezt is not obligated to reinstate your account or recover any lost data, content, or achievements.

Appeals Process

If your account has been suspended or terminated by Qvezt for a violation of these Terms, you have the right to appeal the decision. To appeal:

  • Submit an Appeal: You must submit your appeal via email at info@qvezt.com within 30 days of receiving the termination or suspension notice.
  • Provide Relevant Information: In your appeal, include detailed information regarding the circumstances that led to the suspension or termination and why you believe the action was incorrect.
  • Review of Appeal: Appeals are reviewed by a human at Qvezt, typically within 30 days. While Qvezt will make every effort to review appeals in a timely manner, you may be asked to provide additional information to support your claim.
  • Outcome: Qvezt reserves the right to uphold, modify, or overturn its decision based on the findings of the review. You will be notified of the outcome via email or through your account.

Temporary Suspension for Investigations

In some cases, Qvezt may temporarily suspend your account while investigating a potential violation of the Terms or user misconduct. During this period:

  • Restricted Access: You will not have access to the platform or any content associated with your account.
  • Duration of Suspension: Qvezt will notify you of the duration of the suspension or when a decision has been made following the investigation. Temporary suspensions are generally resolved within 30 days, but complex cases may take longer.

Effect of Termination on Legal Rights

Even after your account is terminated, the following sections of these Terms will continue to apply:

  • Proprietary Rights and Intellectual Property: Any licenses you have granted to Qvezt for your content will remain in effect, as outlined in the Ownership of and Use of Content section.
  • Indemnification: Your obligation to indemnify Qvezt for claims arising from your use of the Services or violations of the Terms will continue to apply.
  • Disclaimer of Warranties and Liability: The disclaimers and limitations of liability outlined in these Terms will survive termination of your account.
  • Governing Law and Dispute Resolution: Any disputes related to your use of the platform, even after account termination, will be governed by the laws and dispute resolution mechanisms outlined in these Terms.

Reinstatement of Terminated Accounts

In exceptional cases, Qvezt may consider reinstating a terminated account if there are valid reasons to do so. This may include situations where:

  • The termination was found to be in error following an appeal.
  • There are compelling circumstances that justify reinstatement (e.g., evidence of wrongful termination).

If Qvezt agrees to reinstate your account, you may be required to:

  • Comply with additional terms or restrictions to prevent further violations.
  • Forfeit any previously accumulated rewards or rankings associated with the account prior to its termination.

Qvezt is under no obligation to reinstate terminated accounts and does so solely at its discretion.

Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the Qvezt platform, services, and content are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. This includes, but is not limited to:

  • No Warranty of Accuracy: Qvezt does not warrant that the information, data, activity tracking, or other content provided on the platform will be accurate, complete, or reliable.
  • No Warranty of Availability: Qvezt does not guarantee that the platform will be available at all times, or that your access to the platform will be uninterrupted or error-free. Occasional downtime, updates, maintenance, or unforeseen technical issues may occur.
  • No Warranty of Fitness for a Particular Purpose: Qvezt makes no representations that the platform or its services will meet your specific requirements or expectations, or that the services will achieve any particular results related to fitness, health, or performance.
  • No Warranty for Third-Party Services: Qvezt disclaims any responsibility for the quality, accuracy, or reliability of third-party services or content that may be integrated or used with Qvezt (e.g., third-party APIs, wearable devices, mapping services).
  • No Warranty of Non-Infringement: Qvezt does not warrant that the platform or its services will be free from intellectual property violations, or that third parties will not infringe on your rights while using the platform.

By using the Qvezt platform, you agree that your use of the platform and its services is at your sole risk. You are solely responsible for any actions you take based on the information or services provided on the platform, including fitness activities, team participation, challenges, and other interactive features.

You expressly acknowledge that Qvezt does not provide medical advice. All content, services, and features available on the platform, including but not limited to activity data and fitness tracking are for informational purposes only.

  • No Substitute for Professional Medical Advice: The content and services provided by Qvezt are not intended to replace professional medical advice, diagnosis, or treatment. You should always consult a healthcare provider before beginning any fitness or exercise program, especially if you have any underlying medical conditions or health concerns.
  • No Doctor-Patient Relationship: Using Qvezt’s services does not establish a doctor-patient, therapist-patient, or other healthcare professional relationship between you and Qvezt.
  • Emergency Situations: If you have a medical emergency or experience any adverse health effects while using Qvezt’s services, you should seek immediate medical attention by contacting your physician or emergency services (e.g., dialing 112).

Limitation of Liability

To the maximum extent permitted by applicable law, Qvezt, its subsidiaries, affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to your use of the platform, services, or content. This includes, but is not limited to:

  • Damages for Loss of Data or Content: Qvezt is not liable for any loss of data, content, or other materials that result from your use of the platform, including any system outages or data corruption.
  • Damages for Loss of Business or Revenue: Qvezt will not be liable for any business interruption, loss of revenue, profits, goodwill, or other economic loss related to the use of or inability to use the platform.
  • Damages Related to Third-Party Content: Qvezt is not liable for any damages or losses arising from your use of third-party content, services, or integrations that are available through the platform (e.g., external APIs, maps, wearable devices).

Limit on Direct Liability

In no event shall Qvezt’s total cumulative liability to you for any claims, losses, or damages arising under these Terms or related to your use of the platform exceed:

  • The total amount you have paid Qvezt in the 12 months preceding the claim, or
  • Fifty U.S. Dollars ($50), whichever is greater.

This limitation applies regardless of whether the claims are based on warranty, contract, tort (including negligence), strict liability, or any other legal theory. The limitations and exclusions in this section apply even if Qvezt has been advised of the possibility of such damages.

Exceptions to Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for damages. If you reside in such a jurisdiction, these limitations may not apply to you. In such cases, Qvezt’s liability will be limited to the fullest extent permitted by applicable law.

If you are a consumer in the European Union, you have statutory remedies if Qvezt breaches its legal obligations, and nothing in these Terms affects those rights. Qvezt’s liability for breach of statutory obligations in the EU is not limited.

Assumption of Risk

You acknowledge and accept the inherent risks involved in using Qvezt’s services, including participating in fitness activities, joining leagues, and competing in challenges. These risks may include property damage, bodily injury, illness, or death. You voluntarily assume all known and unknown risks associated with these activities.

Qvezt is not responsible for:

  • Any injuries, accidents, or health issues that arise from your participation in activities tracked or facilitated by Qvezt, including running, walking or other physical exercises.
  • Accidents or damages that occur during third-party events or activities organized outside of the platform but coordinated through Qvezt’s services.

Indemnity

You agree to indemnify, defend, and hold Qvezt, its subsidiaries, affiliates, officers, directors, employees, agents, and licensors harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of:

  • Your use of the platform or participation in any fitness activities.
  • Your violation of these Terms or any applicable laws.
  • Your violation of the rights of third parties, including intellectual property rights, privacy rights, or other legal rights.

Qvezt reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with Qvezt in asserting any available defenses.

General Provisions

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions. By using the Qvezt platform, you agree that any legal matters arising out of or related to these Terms or the Services will be subject to the jurisdiction of the courts located in Debrecen, Hungary, unless applicable law requires otherwise.

If you reside in the European Union (EU) or the European Economic Area (EEA), you may also bring claims in the courts of your country of residence.

For residents of other jurisdictions, you agree that any claims, disputes, or legal actions brought against Qvezt will be governed by the laws of Hungary, and you submit to the jurisdiction of the Hungarian courts.

Dispute Resolution and Arbitration

If a dispute arises between you and Qvezt, we encourage you to first contact Qvezt at info@qvezt.com to resolve the matter informally. If the dispute cannot be resolved informally, the following terms apply:

  • Arbitration Agreement: You and Qvezt agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, rather than through court proceedings, except for cases that may be brought in small claims court.
  • Arbitration Process: The arbitration will be conducted by the Hungarian Chamber of Commerce or another recognized arbitration authority, according to their rules and procedures. The arbitration will take place in Debrecen, Hungary, unless otherwise agreed upon by both parties.
  • Class Action Waiver: You agree that all claims and disputes between you and Qvezt must be resolved on an individual basis, and not as part of a class action. Arbitration may not be joined with any other claims or proceedings.
  • Opting Out of Arbitration: You may opt out of the arbitration agreement by notifying Qvezt within 30 days of first accepting these Terms. The opt-out notice must be submitted in writing to info@qvezt.com and must include your full name, email address, and a clear statement of your intent to opt out of arbitration.

This arbitration agreement does not prevent you from seeking temporary or preliminary relief (such as a restraining order or injunction) from a court of competent jurisdiction in cases where arbitration is not applicable or practical.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any other agreements referenced herein, constitute the entire agreement between you and Qvezt regarding your use of the Services. These Terms supersede all prior or contemporaneous agreements, communications, or understandings between you and Qvezt, whether oral or written.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions of the Terms will remain in full force and effect. The invalid, illegal, or unenforceable provision will be deemed modified or eliminated to the minimum extent necessary to ensure compliance with applicable law, without affecting the enforceability of the other provisions.

No Waiver

The failure of Qvezt to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if it is in writing and signed by Qvezt.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Qvezt. Any attempted assignment without Qvezt’s consent will be void. Qvezt may assign or transfer its rights and obligations under these Terms, in whole or in part, without your consent.

Third-Party Beneficiaries

These Terms are not intended to grant any rights to third parties, except as explicitly stated herein. No person or entity who is not a party to these Terms will have any right to enforce any term of these Terms.

Notices

Qvezt may provide you with notices, including notices of changes to these Terms, by email, regular mail, or postings on the Qvezt platform. It is your responsibility to ensure that Qvezt has your current, up-to-date contact information at all times.

You agree that all notices, agreements, disclosures, and other communications that Qvezt provides electronically will satisfy any legal requirements that such communications be in writing.

Force Majeure

Qvezt will not be liable for any failure to perform or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control. This includes, but is not limited to:

  • Acts of God,
  • Natural disasters (e.g., earthquakes, floods),
  • Government actions or restrictions,
  • Wars, riots, or civil disturbances,
  • Cyberattacks, disruptions, or outages of third-party services,
  • Labor disputes or strikes,
  • Electrical, internet, or telecommunications failures.

Qvezt will make reasonable efforts to mitigate the effects of a force majeure event but will not be held responsible for the resulting impact on the Services.

Relationship of the Parties

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Qvezt. You and Qvezt are independent parties, and nothing in these Terms will be construed to make either party the agent, partner, or legal representative of the other.

Language

These Terms are written in English, and any translated version is provided for convenience only. In the event of any conflict or discrepancy between the English version and any translated version of these Terms, the English version will prevail.
